Client-Managed Account Agreement (CMA)

This Client-Managed Account Agreement ("CMA") governs billing relationships where a client account is managed by an agency or business ("Agency") on the PushPilot platform. The CMA is separate from, and complements, the Terms of Service.

1. PARTIES

The CMA is between (a) the Agency that creates or manages a client account, and (b) the client that receives services through the PushPilot platform (each, a "Party"). PushPilot provides the platform and payment infrastructure but is not a party to the Agency-client engagement.

2. BILLING RESPONSIBILITY

By accepting the CMA, the Agency confirms it is authorized to use the payment method on file for subscription fees, usage-based charges, and overages associated with the client projects it manages. The client acknowledges that the Agency is responsible for these charges unless the Parties agree otherwise in writing.

3. AUTHORIZATION & COMMUNICATIONS

The Agency authorizes PushPilot to process charges in accordance with the selected plan and usage. The client authorizes the Agency to manage billing settings, project limits, and usage controls on the client’s behalf.

4. DISPUTES BETWEEN AGENCY AND CLIENT

Disputes related to the Agency-client relationship, allocation of charges, or project deliverables are resolved directly between the Parties. PushPilot does not mediate these disputes.

5. INCORPORATION BY REFERENCE

The CMA is incorporated by reference into the Terms of Service for users who accept it. If there is a conflict between the CMA and the Terms of Service, the CMA controls solely with respect to Agency-client billing arrangements.
